download it. then open Blender, go to file> User preferences> Themes, and at the bottom click of "Install theme", in the browser locate the file you've downloaded and click install, that should do it.
You need to pack the XML file into a .ZIP file and then you can just upload it here Under "Blends'> "Upload New Blend". to pack a ZIP file - if you are on windows simply right+click the XML file and choose Send to... > Compressed folder.
You need to name your new theme in order to save it. in the themes tab in User preferences you have the preset menu - click on the "plus" button and then write the name you want for the theme, and OK.
Blender saves it as an .XML file in Blender installation directory. by default on Windows it's in C:/Program Files/Blender foundation/Blender/2.70 (or other version number if you use an older version)/Scripts/Presets/Interface_theme/ - there you'll find an .XML file with the name you gave the theme.
